Terms of Service

Trim (“Trim”, “we”, “us”) is operated by SyncSanctuary, the operating name of SYS — a business registered in Seoul, South Korea, Business Registration No. 657-09-03349. You can reach us at support@trimprocure.com.

Trim helps you understand and improve what you pay for software. It includes:

• A free price audit. You enter a SaaS price and we score it against verified market benchmarks.
• Idea Validator. Describe a product or business idea, and we research public sources — similar projects on GitHub, competing products, and discussions on communities like Reddit — to surface existing gaps, overlaps, and complaints, so you can see the landscape before you build or buy.
• Pro. A paid subscription that unlocks deeper deliverables (a negotiation cheat sheet and a fit analysis), plus search and recommendations across Tools.
• Tools. A directory of software listings from sellers, each reviewed by our team before it goes live.
• Reverse auctions. After an audit, you can invite verified sellers to bid under your maximum price.
• Deal rooms. Private conversations between a buyer and a seller once they are connected.

Trim is not a party to your deals. When a buyer and a seller reach an agreement, the deal is concluded and paid for directly between them, off the platform. Trim charges no commission and takes no percentage of the deal value — our only charges are the fixed fees described in section 11.

You must be at least 18 years old, or the age of majority where you live if that’s older, and able to form a binding contract, to use Trim. If you’re using Trim on behalf of a company or other organization, you confirm you’re authorized to accept these terms on its behalf, and “you” then means that organization as well as you personally.

You represent that you’re not located in, or ordinarily resident in, a country or region subject to comprehensive trade sanctions administered by the United States, the European Union, the United Kingdom, or South Korea, and that you don’t appear on any restricted-party or denied-person list maintained by those governments (including the U.S. Treasury’s Specially Designated Nationals list and the U.S. Commerce Department’s Entity List). You also agree not to use Trim to transact with anyone who does. We may suspend or terminate access where we reasonably believe this section has been breached.

When you first visit, we create a guest session for you automatically so you can run a free audit without signing up. You can later sign in with Google, GitHub, or an email code; when you do, the audits, bids, messages, Boosts, credits, and other account state from your guest session are moved into your account.

You are responsible for activity under your account. Keep your sign-in method secure and tell us promptly at support@trimprocure.com if you believe it has been compromised.

By using Trim you agree to these terms. When you sign in to an account, we record the version of these terms you accepted and when you accepted it; signing in again after the terms change records the newer version. In addition, each time you submit a price audit we record the version in effect alongside that submission.

• The details you enter (product, offered price, seats, term, and so on) must be information you are entitled to share.
• You may optionally paste contract text (up to 8,000 characters), or upload a pricing document (PDF, PNG, JPEG, or WebP, up to 10 MB), so we can flag risky clauses. We transcribe the document’s text and analyze the text; the file itself is stored privately in your own storage folder and deleted automatically within 24 hours. An upload only proceeds when you affirmatively consent to it at the point of upload.
• Every figure we show you is either observed (a verified public benchmark), computed (from benchmarks, live exchange rates, and your own inputs), or something you provided. We do not invent numbers. Exchange rates are used for display and scoring only — never to compute an amount you are charged.
• Audit results, deliverables, and benchmarks are informational. They are not legal, tax, or financial advice, and they do not guarantee that a seller will agree to any price.

Idea Validator takes a product or business idea you describe and researches public sources — similar projects on GitHub, competing products, and discussions on communities such as Reddit — to surface existing gaps, overlaps, and complaints about existing solutions.

• It’s a research aid, not a verdict. Idea Validator reports what its research found in the public sources it checked, at the time it checked them. It doesn’t search everything, and it doesn’t predict whether an idea will succeed. A gap it finds isn’t a guarantee of a viable opportunity, and a competitor it misses doesn’t mean one doesn’t exist — treat the output as a starting point for your own research, not a substitute for it.
• Not business, financial, or legal advice. Nothing Idea Validator produces is investment, business, legal, or financial advice, and it doesn’t assess the legality, feasibility, or safety of any idea. Decisions you make based on it are yours alone.
• What happens to the idea you describe. You keep ownership of it. Producing your results means sending it to our AI provider and running searches against public platforms like GitHub and Reddit; we don’t publish your idea ourselves, but we don’t control, and can’t promise the confidentiality of, how those third-party platforms handle search activity. Don’t submit trade secrets or anything you wouldn’t want processed by a third-party AI model or reflected in an ordinary web search.

See section 12 for the license you grant us to process what you submit, section 14 for how we use AI generally, and section 15 for the warranty disclaimer that applies to this and every other feature.

• Sellers must provide accurate listing and company information. Seller accounts and listings are reviewed and approved by our team — a human review, not an automated one — and may be rejected or taken down.
• Trust signals shown on seller profiles are either verified (GitHub account signals after an ownership check, credentials confirmed with their issuer, website domains proven via a DNS record) or clearly labeled “self-reported”. Verified signals are shown as fetched — we do not edit or grade them.
• Auctions let a buyer set a private maximum and a deadline; verified sellers submit bids. The buyer chooses freely among qualifying bids — winning the lowest price does not create an automatic award.
• Deals settle off-platform. Trim records the connection and, where the parties choose, the agreed price — but the contract, delivery, and payment for the software itself are strictly between buyer and seller.

Where commitment fees are enabled on auctions, the winning seller pays a refundable commitment fee when their bid is selected, to discourage no-shows. That fee is Trim’s own service charge — not an escrow deposit held between buyer and seller, and not money that moves from one user to another. Buyers never pay one: a buyer’s commitment is recorded without any charge. There is no deposit wallet and no stored balance — the fee is a single payment, collected by our Merchant of Record at a hosted checkout.

• The fee is half of one month’s effective price, never less than $20 and never more than $500; sellers with a proven record (at least a 95% honor rate across 10 or more selected deals) pay the $20 minimum. The exact amount is computed by our servers and shown before you pay.
• The fee is refunded to your original payment method by the Merchant of Record when the buyer confirms kickoff, automatically at the 72-hour no-fault deadline after payment, when the buyer re-selects another bid or the auction closes without a deal, or by an admin ruling. A fee is never kept silently because a timer ran out.
• If the selected seller does not pay the fee within its 72-hour payment window, nothing is charged: the award lapses and the buyer may select another bid.
• Trim retains a fee only where a no-show is reported and an admin rules that the seller failed to start the work they were selected for. The wronged buyer then receives a make-good of 30 days of Pro. If the buyer is ruled a no-show (or declines after an award), the seller’s fee is refunded and the seller receives a fee waiver — their next auction-win or qualified-lead fee is billed at $0. Make-goods are service benefits, not money: they are not store credit or a balance, cannot be withdrawn as cash, and cannot be transferred to another account.

Prices are in USD. What we charge, and how:

• Pro subscription: $19 per month or $182 per year. It renews automatically for the same period until you cancel, which you can do anytime from your account settings; cancelling stops the next renewal and takes effect at the end of the period you’ve already paid for. Refunds, if any, follow the Refund Policy.
• Boost packs (billed as “Up packs” on receipts issued before this rebrand; tokens spendable on listing boosts): 30 Boosts for $10, or 100 Boosts for $25.
• Seller discovery clicks: the first 200 outbound clicks each month are free, then $0.40 per click. If any residual prepaid seller credit remains on the account from an earlier top-up, the click is debited from that balance as it happens (not billed as open debt). There is no withdrawable wallet and no cash-out for this credit.
• Auction-win lead fee (charged to the winning seller, in arrears), tiered by the buyer’s captured maximum: $79 (under $100/month or under $5,000 total), $149 (under $500/month or under $25,000 total), or $299 (at or above those ceilings).
• Qualified-lead fee: a flat $25 per buyer conversation, charged once per conversation on the seller’s first reply. This fee only applies where it has been switched on and disclosed; it is not charged while disabled.
• Promoted listing: $9 per day. If any residual prepaid seller credit remains, the daily fee is debited from that balance up front (rejected, not owed, if the balance is insufficient). New prepaid top-ups are no longer offered.

Prepaid seller credit is residual only. New prepaid top-ups are no longer offered. Any remaining balance from an earlier top-up may still be spent on discovery clicks or promoted placement as described above, but Trim does not operate a withdrawable wallet, does not offer cash-out of prepaid credit, and does not hold funds for users as a stored-value product. Unspent residual credit is handled on account closure as described in section 18.

All payments are collected by our third-party payment provider, acting as our Merchant of Record, which handles checkout, tax, card processing, and refunds under its own terms of sale (see the Refund Policy) — Trim is not a party to that checkout transaction, never receives your card details, and does not hold customer funds or act as a payment intermediary between users. And to repeat section 2: there is no commission on deal value.

• Deal-room messages are written by people, stored as written, and are not read or moderated by AI. Notices in a conversation labeled as system messages are automated, fixed status updates about the deal (for example, a commitment-fee refund) — not a participant.
• You must not post unlawful content, attempt to deceive other users, misrepresent your identity or credentials, probe or disrupt the service, or use it to build a competing benchmark dataset.
• You keep ownership of what you submit; you grant us the license needed to operate the service (for example, showing your listing to buyers, processing your pasted contract text to produce your audit, or researching an idea you give Idea Validator).
• We may study anonymized, aggregated patterns across audits, Idea Validator queries, and other submissions — never content tied back to your identity — to improve Trim’s benchmarks and features. If you send us feedback about Trim itself, you agree we can use it without owing you anything for it.

Trim’s software, design, and trademarks are ours; using the service doesn’t give you rights to them beyond what’s needed to use Trim as intended.

If you believe a listing, logo, or other content on Trim infringes your copyright or trademark, send a notice to support@trimprocure.com with: (1) your contact details, (2) a description of the work you claim rights to and where the infringing content appears on Trim, (3) a statement that you have a good-faith belief the use is unauthorized, and (4) a statement, made under penalty of perjury, that the notice is accurate and that you are the rights holder or authorized to act for them. We will remove or disable access to content that a valid notice targets, notify the seller who posted it, and may terminate the accounts of sellers who repeatedly infringe. A seller who believes content was removed in error may send a counter-notice meeting the same contact and accuracy requirements; we will consider it and communicate the outcome.

Audit scoring and Pro deliverables use Google’s Gemini models on Vertex AI. The model is constrained so that it can only reference verified benchmarks and produce qualitative wording — every number you see is computed by our servers, never authored by the model. Contract-risk flags must quote your own pasted text verbatim, or they are discarded.

Idea Validator’s research and analysis run on the same kind of AI infrastructure. We currently build on Google’s Gemini models via Vertex AI, though the underlying provider may change as Trim grows. Vertex AI’s own terms state that customer data isn’t used to train Google’s models without our permission, and we don’t give that permission. Even so, AI-generated wording — including Idea Validator’s findings and the qualitative parts of your audit — can be incomplete or wrong in ways our guardrails don’t catch, and depends on a third-party service we don’t control; we can’t promise it will always be available or error-free. See the Privacy Policy for the full AI disclosure, and section 15 for how this affects our warranties.

The service is provided “as is” and “as available”. We do not warrant that benchmarks cover every product, that an audit will find savings, that Idea Validator’s research is complete or current, that sellers will bid, that a negotiation will succeed, or that any AI-generated output on Trim is accurate. Listings, bids, and seller statements are the responsibility of the sellers who make them.

To the maximum extent permitted by law, we are not liable for indirect or consequential losses, and our total liability for claims arising out of the service is limited to the amounts you paid us in the 12 months before the claim. Nothing in these terms limits liability that cannot be limited by law.

You agree to defend and indemnify us against claims, losses, and expenses (including reasonable legal fees) arising from your breach of these terms, your content, or your conduct as a buyer or seller — except to the extent caused by our own breach of these terms.

You can delete individual audits or your entire account from your account settings at any time. Deletion is blocked while you have open money positions — an outstanding commitment fee on a live auction (unpaid, awaiting payment, or not yet refunded), an agreed-but-unpaid deal, or unpaid seller charges — which must be resolved first through the normal flows, so a fee we owe you back is refunded before the account can close. Deleting your account forfeits any remaining Boost or promoted-listing credit and any store credit we granted. If any prepaid seller credit balance remains (new top-ups are no longer offered), Trim has no on-demand withdrawal — spend it down first, or contact support to arrange a manual refund through our Merchant of Record before you delete; once the account is closed, any remaining prepaid balance is forfeited. Certain financial records are retained in anonymized form after deletion, as described in the Privacy Policy. We may suspend or terminate accounts that break these terms.

These terms are governed by the laws of South Korea, and disputes will be resolved in the courts of South Korea, unless mandatory consumer law where you live provides otherwise.

We may update these terms as the product evolves. We will update the date at the top, and each audit submission continues to record the version you accepted at that moment. If a change is material, we will make the update reasonably visible before it takes effect.

• If one part doesn’t hold up. If a court finds part of these terms unenforceable, the rest stays in effect.
• The whole deal. These terms, together with the Privacy Policy and Refund Policy they point to, are the entire agreement between you and Trim about using the service, and replace any earlier version you may have accepted.
• Not waiving by not acting. If we don’t enforce something right away, we can still enforce it later.
• Assignment. You can’t transfer your account or these terms to someone else without our consent; we may assign these terms in connection with a merger, acquisition, or sale of our business.
• Notices. We’ll send you notices at the email on your account; legal notices to us go to support@trimprocure.com.
• Events outside our control. We’re not responsible for delays or failures caused by events beyond our reasonable control, including outages at a provider we depend on (such as our AI or payment providers), internet infrastructure failures, or other events of force majeure.
